Part 1: Introduction and Acceptance of Terms

1.1 Welcome to the Charles Platform ("Charles Platform "), a dynamic space that empowers users to transform their creative (text) works into Non-Fungible Tokens (NFTs) for sale. By accessing and utilizing the Charles Platform , you signify your agreement to these Terms and Conditions ("Terms"). If any part of these Terms does not align with your preferences, please refrain from using the Charles Platform .

1.2 Account Creation: To utilize the Charles Platform's features, users must create an account. By doing so, you agree to provide accurate and up-to-date information during the account creation process. This information will be used to facilitate your access to the Charles Platform and the services it offers.

Part 2: User Content and Creation of NFTs

2.1 User-Created Content: The Charles Platform serves as a canvas for users to create or submit their original stories, books, jokes, and other textual compositions ("Content") for conversion into NFTs. By submitting Content, you affirm the ownership of the rights to the Content or your possession of necessary permissions to utilize and distribute it. Charles Platform is not responsible for any such right or ownership and is not liable in case of any claim stating otherwise.

2.2 AI-Powered Creativity: To help in the creation of Content and elevate the quality (and authenticity) of user-created Content, the Charles Platform offers AI-assisted tools. These tools contribute by suggesting sentence completions, enriching content, and conducting plagiarism checks. Usage of these AI tools is entirely optional. By utilizing these tools, users acknowledge that the AI's recommendations are drawn from data patterns and may not necessarily reflect individual preferences. Users further agree that the company is not taking any responsibilities for the work performed by AI tools, and all responsibilities and liabilities lie with the user who is aware of such, and by using AI tools, agrees to take full responsibility for the work or any services performed by AI tools.

Part 3: Compensation, Fees, and Payment Options

3.1 Compensation for Creativity: Content creators are entitled to receive compensation, i.e. royalty fee, based on the rates specified in the Price List for each NFT sold. The compensation amount is determined by the selling price of the NFT and is subject to the provisions detailed in these Terms and Conditions. Content creator is also entitled to the compensation in case when his NFT is sold on the secondary market in the amount specified in the Price List.

3.2 Service Fee and Value: A service fee, calculated as the variance between the NFT selling price and the compensation paid to the Content creator, is retained by the Charles Platform. This service fee encompasses costs related to AI-assisted content enhancement, NFT transformation, and the comprehensive NFT sales procedure.

3.3 Diverse Payment Options: Recognizing the necessity of catering to diverse payment preferences, the Charles Platform offers a variety of payment options for NFT purchases. These choices span from conventional methods such as PayPal and credit cards to contemporary alternatives like cryptocurrencies. Users can select their preferred payment method during the checkout process, ensuring a smooth and secure transaction experience.

Part 4: NFT Sales, Licensing, and Secondary Market

4.1 NFT Sales Selection: Users who intend to sell NFTs have the freedom to choose between two options: an exclusive web version of the text or a comprehensive version available for download across various devices. This flexibility empowers buyers to select an option that resonates with their preferences and reading habits.

4.2 Secondary Market Transactions: Upon purchasing an NFT, the buyer is granted the right to resell it on the secondary market. It is important to recognize that the Charles Platform does not regulate or oversee these secondary transactions. Consequently, the terms and conditions governing secondary market sales are exclusively determined through negotiation between the buyer and the subsequent purchaser. The Charles Platform assumes no responsibility for the outcomes or arrangements of these transactions.

Part 5: User Responsibilities and Ethical Use

5.1 Accurate Information and Payment Details: Users are required to provide accurate and comprehensive information during the account creation process, as well as when listing NFTs for sale and selecting preferred payment options. Ensuring accurate payment details is vital for successful compensation distribution and efficient payment processing.

5.2 Legal Compliance and Ethical Conduct: The Charles Platform places emphasis on upholding legal and ethical standards. Users are expected to adhere to all applicable laws, regulations, and third-party rights while interacting with the Charles Platform and engaging in payment transactions. Upholding these standards fosters a positive and secure environment for all users.

Part 6: Ownership and Termination

6.1 Ownership and Responsibility: The Charles Platform unequivocally states that ownership and responsibility for the Content lie solely with the original author or creator. The Charles Platform does not claim ownership over the Content transformed into NFTs, and the author retains all rights to their creations.

6.2 Provider's Termination Rights: The Provider reserves the right to suspend or terminate user accounts or Charles Platform access at its discretion. Such actions may be taken in situations where users breach these Terms and Conditions or engage in activities that undermine the integrity of the Charles Platform.

Part 7: Limitation of Liability and Payment Matters

7.1 Charles Platform Limitations: The Charles Platform is provided on an "as is" basis, and the Provider is not responsible for any damages, losses, or inconveniences resulting from the use of the Charles Platform , including payment-related issues. Users acknowledge and agree that the Provider shall not be held accountable for any financial losses, service disruptions, or inconveniences arising from payment processing or transactions.

Part 8: Amendments and Communication

8.1 Amendment and Notification: The Provider retains the right to modify or update these Terms as necessary to reflect changes in services, legal requirements, or industry standards. Users will receive notifications regarding significant changes, and their continued use of the Charles Platform or payment services signifies acceptance of the modified Terms.

You also agree not to compromise the security of the Content or attempt to gain access to secured areas or sensitive information.

13.2 You hereby agree to indemnify Charles Platform against any costs, claims, losses and damages (including legal fees) incurred by or awarded to Platform as a result of your misuse of the Contentor your breach of these terms.

13.3 Platform may suspend or terminate your use of the Content as a result of your fraud or breach of any obligation under these Terms. Such termination or suspension may be immediate and without notice. A breach of these Terms, includes without limitation, the unauthorized copying or download of our audio or video content from the Content.

13.4 We understand that unforeseen events and circumstances beyond anyone's control, such as natural disasters, acts of terrorism, pandemics, or other force majeure events, may impact the availability and performance of the Charles Charles Platform. In the event of such occurrences, we shall be excused from our obligations under these Terms and Conditions for the duration of the force majeure event.
